Terms of Service
These terms are an agreement between you and Angel Valle ("Onyx", "we", "us") about your use of onyxnotes.io and the Onyx Notes service. By creating an account, ticking the box at sign-up, or using the service, you accept them. If you do not accept them, do not use the service. Our Privacy Policy is part of these terms.
Section 13 contains an agreement to resolve disputes by individual arbitration, with a right to opt out within 30 days.
1. The service
Onyx records a lecture or meeting through your browser, transcribes it as it happens, writes notes from the transcript with an AI model, and lets you read, edit, study from and share the result.
2. Your account
- You must be 13 or older. If you are under 18, you confirm that a parent or guardian has permitted you to use the service and agreed to these terms on your behalf.
- Give us a working email address and keep your password to yourself. You are responsible for activity under your account; tell us at once if you believe someone else has used it.
- One person per account. No shared or automated accounts.
- You agree to receive service emails (verification, password reset, security and legal notices) electronically at your account address.
3. Recording responsibly
You may record only where you have the right to. You agree that:
- you will obtain any consent the law where you are requires from the people being recorded (some states require everyone's consent; the Privacy Policy lists the commonly cited ones and tells you to check);
- you will follow your school's or employer's rules on recording lectures, classes and meetings, and on sharing class material, and you will stop recording if asked by the instructor or the people being recorded;
- you will not record to harass, intimidate, deceive or surveil anyone;
- you are solely responsible for your decision to record and for any consequences of it.
Onyx shows you a notice before you start a recording on a device for the first time (and again every 90 days), records nothing until you press Start, stops when you press Stop, and never stores the audio. We provide the tool; the choice and the responsibility to record are yours.
4. Academic integrity
Your school may restrict recording, note-sharing, or the use of AI tools in particular courses. You are responsible for knowing and following those rules. Onyx notes are a study aid and are not a substitute for your own work where your own work is required.
5. Your content
Transcripts, notes, study guides, your own notes and anything you type are yours. You grant us a non-exclusive, worldwide licence to store, process, display, transmit and, when you ask, share your content, only as needed to provide the service and only for as long as you keep it in your account. We do not claim ownership, we do not sell it, and we do not use it to train AI models. If you send us feedback, we may use it to improve the service without obligation to you.
When you share a notebook, the recipient receives their own copy, which they may keep and edit after you stop sharing. Do not share content you have no right to share.
6. Copyright and takedown
A lecture may be protected by its instructor's copyright. Recording for your own study is commonly permitted; redistributing a recording or a derivative of it may not be. If you believe content on Onyx infringes your copyright, send a notice containing the information required by 17 U.S.C. § 512(c)(3) to onyxnotessupport@gmail.com. We are registering a designated agent with the U.S. Copyright Office; until that is complete, notices to this address are handled by us directly. We will remove or disable access to the material and notify the account holder, who may send a counter-notice. We terminate the accounts of repeat infringers.
7. AI output
Notes, titles, study guides, explanations and answers are written by an AI model from the transcript, in pieces, while the lecture is happening. They can be wrong, incomplete, or state something the lecturer did not say, including numbers, dates, methods and what is on an exam. They are a study aid, not a record or advice of any kind. The transcript is the record, and you can edit both. Check anything that matters against the transcript or the original source. You agree not to rely on AI output as the sole basis for any academic, financial, medical, legal or safety decision.
8. Acceptable use
You will not:
- use the service to break the law or anyone's rights;
- record, upload or share content that is unlawful, infringing, abusive or that you have no right to;
- probe, scan, scrape, overload, reverse engineer or interfere with the service, its security or other accounts;
- resell the service, use it to build a competing product or dataset, or access it by automated means except through features we provide;
- bypass or exceed limits we set to keep the service fair and affordable.
We may suspend or close an account that breaks these terms. Where we reasonably can, we will tell you why and give you a chance to export your data.
9. Plans and billing
Not in effect. Onyx is free today and no payment is collected. The pricing page describes plans we intend to offer. When paid plans launch, this section will state prices, billing periods, how to pause and cancel, refunds, and the date it takes effect, and you will be asked to accept it before any charge. Nothing on the pricing page creates a charge.
10. Changes to the service
We improve the service continuously and may add, change or remove features. If we discontinue the service, we will give at least 30 days' notice by email and keep export available through that period.
11. Termination
You may delete your account at any time from the account menu. Deletion begins no sooner than 14 days later, when our daily deletion runs, and you can cancel it until it begins. We may end your access for a material breach of these terms. On termination your right to use the service ends and your data is handled per the Privacy Policy; copies already shared with others remain theirs. Sections 5 (licence to content you shared), 6, 7, 12, 13, 14 and 16 survive.
12. Disclaimers and limitation of liability
The service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that transcription or notes will be accurate or complete.
To the fullest extent permitted by law: (a) Onyx will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of data, grades, profits, goodwill or opportunities, however caused and under any theory of liability, even if advised of the possibility; and (b) our total liability for all claims relating to the service will not exceed the greater of the amount you paid us in the twelve months before the claim or fifty US dollars. Some jurisdictions do not allow some of these limits; in those places our liability is limited to the smallest amount the law allows.
13. Disputes: notice, small claims, arbitration, opt-out
Talk first. Before starting any formal proceeding, you agree to email onyxnotessupport@gmail.com describing the problem and what you want, and to give us 30 days to resolve it. We agree to do the same before bringing a claim against you.
Small claims. Either of us may bring an individual claim in small claims court if it qualifies.
Arbitration. Any other dispute arising out of or relating to these terms or the service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The Federal Arbitration Act governs this section. The arbitrator decides all issues, including whether a claim is arbitrable. We will pay the filing and arbitrator fees for claims under $10,000 unless the arbitrator finds the claim frivolous. Hearings may be by video, phone or in Davidson County, Tennessee at your choice. The arbitrator may award the same individual relief a court could.
No class actions. You and Onyx each agree to bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, consolidated or representative proceeding. If this paragraph is found unenforceable for a particular claim, that claim proceeds in court under the next paragraph, and the rest of this section still applies to everything else.
Opt-out. You may opt out of arbitration by emailing onyxnotessupport@gmail.com within 30 days of first accepting these terms, stating your account email and that you opt out. Opting out does not affect any other part of these terms.
Courts. Any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Davidson County, Tennessee, and you and Onyx consent to their jurisdiction. You and Onyx waive any right to a jury trial to the extent the law allows.
Governing law. These terms are governed by the laws of the State of Tennessee and applicable US federal law, without regard to conflict of law rules.
14. Indemnity
You will defend, indemnify and hold Onyx and its operator harmless from third-party claims, losses and reasonable legal fees arising from: a recording you made without the right to make it; content you shared without the right to share it; your breach of your school's or employer's rules; or your breach of these terms. We will notify you of any such claim and let you control the defence, provided you do not settle in a way that admits fault on our behalf without our consent.
15. Changes to these terms
We will post changes with a new effective date and version and, for material changes, tell you in the app or by email at least 14 days before they take effect. Continuing to use the service after that date means you accept the new terms. Changes to section 13 do not apply to disputes already noticed before the change.
16. General
These terms and the Privacy Policy are the entire agreement between you and Onyx about the service. If any provision is held unenforceable, the rest remains in effect and the provision is enforced to the maximum extent permitted. Our failure to enforce a provision is not a waiver. You may not assign these terms; we may assign them to a successor that agrees to honour them. We are not liable for delays or failures caused by events beyond our reasonable control. Notices to you go to your account email. Notices to us, including legal notices, must be sent by email to onyxnotessupport@gmail.com; we do not currently accept notices by post.
